Terms of Service \u2013 ATNOVIX<\/h1>\n

These Terms of Service (\u201cTerms<\/strong>\u201d) apply to all offers, quotations, agreements, services, and deliveries by ATNOVIX<\/strong> (\u201cATNOVIX<\/strong>\u201d, \u201cwe<\/strong>\u201d, \u201cus<\/strong>\u201d) to its clients (\u201cClient<\/strong>\u201d, \u201cyou<\/strong>\u201d).<\/p>\n

By engaging ATNOVIX or using our services, the Client confirms acceptance of these Terms and the ATNOVIX Privacy Policy.<\/p>\n

\n

1. Scope of Services<\/h2>\n

ATNOVIX provides engineering and technology services, including but not limited to:<\/p>\n

    \n
  • \n

    electronics and embedded systems design<\/p>\n<\/li>\n

  • \n

    PCB design, validation, and revision<\/p>\n<\/li>\n

  • \n

    enclosure and mechanical design<\/p>\n<\/li>\n

  • \n

    prototyping, testing, and small-scale production<\/p>\n<\/li>\n

  • \n

    research & development (R&D)<\/p>\n<\/li>\n

  • \n

    technical consultancy and advisory services<\/p>\n<\/li>\n<\/ul>\n

    Unless explicitly agreed in writing, services are provided as an obligation of effort<\/strong> (inspanningsverplichting<\/em>), not as a guaranteed result.<\/p>\n

    \n

    2. Offers and Formation of Agreement<\/h2>\n
      \n
    • \n

      All offers are non-binding<\/strong> unless stated otherwise in writing.<\/p>\n<\/li>\n

    • \n

      An agreement is concluded when ATNOVIX confirms the assignment in writing or commences execution.<\/p>\n<\/li>\n

    • \n

      Verbal agreements or deviations are only binding if confirmed in writing.<\/p>\n<\/li>\n<\/ul>\n

      \n

      3. Client Responsibilities and Information Duty<\/h2>\n

      The Client is responsible for:<\/p>\n

        \n
      • \n

        providing complete, accurate, and timely specifications and requirements<\/p>\n<\/li>\n

      • \n

        informing ATNOVIX of all relevant constraints, intended use, environments, risks, and applicable regulations<\/p>\n<\/li>\n

      • \n

        ensuring that third-party components, data, and materials supplied by the Client are suitable and lawful<\/p>\n<\/li>\n<\/ul>\n

        ATNOVIX is not liable for consequences arising from incorrect, incomplete, or late information.<\/p>\n

        \n

        4. Changes to the Assignment<\/h2>\n

        Changes to scope, requirements, or specifications:<\/p>\n

          \n
        • \n

          must be agreed in writing<\/p>\n<\/li>\n

        • \n

          may affect pricing, delivery time, and technical outcomes<\/p>\n<\/li>\n

        • \n

          entitle ATNOVIX to compensation for already performed work and incurred costs<\/p>\n<\/li>\n<\/ul>\n

          \n

          5. Use of Third Parties<\/h2>\n

          ATNOVIX may engage subcontractors or suppliers where necessary.<\/p>\n

          ATNOVIX is not responsible for:<\/p>\n

            \n
          • \n

            defects or delays caused by third-party products or services<\/p>\n<\/li>\n

          • \n

            limitations or failures of components prescribed by the Client<\/p>\n<\/li>\n<\/ul>\n

            Third-party terms may apply.<\/p>\n

            \n

            6. Intellectual Property<\/h2>\n
              \n
            • \n

              All intellectual property rights related to designs, documentation, software, schematics, calculations, models, prototypes, and tooling remain with ATNOVIX unless agreed otherwise in writing.<\/p>\n<\/li>\n

            • \n

              The Client receives a limited, non-exclusive, non-transferable right of use for the agreed purpose only.<\/p>\n<\/li>\n

            • \n

              Reverse engineering, duplication, or reuse beyond the agreed scope is prohibited.<\/p>\n<\/li>\n<\/ul>\n

              \n

              7. Confidentiality<\/h2>\n

              Both parties shall treat confidential information strictly confidential and use it solely for execution of the agreement.<\/p>\n

              Confidentiality obligations survive termination of the agreement.<\/p>\n

              \n

              8. Prototypes, Testing, and Experimental Nature<\/h2>\n
                \n
              • \n

                Prototypes and pre-production units are experimental<\/strong>.<\/p>\n<\/li>\n

              • \n

                Minor or major deviations, failures, or unforeseen behavior may occur.<\/p>\n<\/li>\n

              • \n

                Tests performed by ATNOVIX are limited to the agreed scope and do not replace full system validation by the Client.<\/p>\n<\/li>\n<\/ul>\n

                \n

                9. Delivery Times<\/h2>\n
